A cross-practice Lander & Rogers team has advised Acteon, a UK-headquartered global offshore energy services group, on the Australian aspects of the sale of Menck to Cadeler A/S, a leading offshore wind installation contractor.
The transaction involved the sale of the Menck marine foundations business across Germany, the United Kingdom, Australia and Singapore, and was completed simultaneously with signing. The acquisition will strengthen Cadeler's offshore wind foundation transportation and installation capabilities, combining Menck's specialist technology and engineering experience with Cadeler's offshore installation platform. Menck will continue to operate as a standalone business.
The Lander & Rogers deal team was led by partner Jared Smith, supported by senior associate Douglas Brown and special counsel Michael Dearden (M&A and Private Equity), as well as partner Rachel Hill, senior associate Lisa Townsend and lawyer Teresa Zhang (Real Estate & Projects), partner Philip Aitken (Antitrust and Competition), partner Vince Rogers and lawyer Jamie-Lee Duckworth (Workplace Relations & Safety), partner Matthew McMillan, senior associate Edward Lyons and lawyer Michelle Zhu (Digital Economy), partner Adam Jeffrey, senior associate Dominic Ho and lawyer Mariam Dib (Banking & Finance) and lawyer Sebastian Candido (Commercial Disputes).
"This was a truly cross-practice and cross-jurisdictional deal with many moving parts, requiring the skills and expertise of a diverse and multifaceted Lander & Rogers team," said Jared Smith. "We congratulate the Acteon, Menck and Cadeler teams on a fantastic and mutually beneficial result for all parties."
In other significant recent deals with a cross-border element, Lander & Rogers advised AxFlow on its largest investment in Oceania, the acquisition of a majority interest in Dowdens Group; and Fortune 500 company Assurant on its acquisition of the reverse logistics division of TIC Group.
