  • A Lander & Rogers deal team advised the founders of Allied Grain Systems (AGS), an Australian supplier of grain handling and storage solutions, on the sale of the company to Mitchells Group ─ a global provider of bulk material handling equipment to the agriculture industry.

AGS designs, constructs and installs commercial-scale grain handling and storage facilities for farming businesses across Australia. Based in Young, NSW, AGS is one of the country's largest suppliers of grain storage equipment. Its sale to Mitchells Group ─ a Singapore-headquartered conglomerate with engineering and manufacturing facilities in the UK and China ─ will expand the reach and enhance the production capability of both companies.

AGS founder John White said the team was "looking forward to joining forces with Mitchells" and finding "new opportunities for growth and innovation, ultimately benefiting our customers and the broader agricultural community."

Lander & Rogers partners David Morris and David Tink led the transaction for AGS with assistance from senior associate Doug Brown and lawyer James French. Partner Peter Kritikides also advised on all property law aspects of the transaction. With AGS retaining its name and branding, management structure, workforce and locations, the deal also involved specialist support from the firm's finance and workplace relations & safety practices.

Mr Morris congratulated the AGS team on a successful outcome. "John and the team at AGS are a vital part of Australia's agricultural community and have been for many years. We look forward to seeing the AGS business continue to go from strength to strength in partnership with Mitchells."

Mr Tink also noted that "Lander & Rogers has an impressive track record of working closely with owners and founders to prepare their businesses for sale, navigate the acquisition process, and maximise value."

Recent transactions in which Lander & Rogers has assisted founder sellers in successfully navigating the current M&A market include the sale of solar technology company Smart Energy to multinational appliance manufacturer, Rinnai, and advising the shareholders of UniquePak, an Australian distributor of premium glass packaging solutions for the spirit, wine, pharmaceutical and food industries, to TricorBraun.
